General terms and conditions

1. The legal relationship between "Op een zonovergoten morgen in augustus ...", located at Mellaertsstraat 28 in 2140 Borgerhout, KBO nr BE 0666.601.618 (hereinafter referred to as Inge Jooris) and the Customer is governed by these General Terms and Conditions, the order form confirming the Agreement, the invoices and any special terms and conditions (hereinafter referred to as "the Agreement"). The Agreement cancels and replaces all written or oral agreements, offers and commitments relating to the same subject matter and preceding the date of this Agreement. The Agreement takes precedence over the Customer's general and/or other terms and conditions, even if they claim sole validity. Deviations from the Agreement are only possible with the prior and written consent of Inge Jooris and the Client.

2. The services of Inge Jooris consist of speech writing, communication training and coaching, support in (crisis) communication, outlining and co-execution of innovation processes.

3. Payment terms - Unless otherwise agreed, all invoices are to be paid digitally. The amount of any invoice not paid within 30 days of the invoice date will be increased by right and without prior notice of default by an interest rate of 1% per month, with each month or part thereof deemed to be forfeited.

4. Cancellation - The customer may cancel free of charge up to 4 weeks before the contractual start date. In case of cancellation between 4 weeks and 1 week before the start of the assignment, the customer must pay 25% of the amount specified in the contract. In case of cancellation less than 1 week before the beginning of the assignment, the customer shall pay 50% of the total amount specified in the contract.

5. All prices of Inge Jooris are exclusive (unless otherwise stated) VAT. The prices valid at the time of the conclusion of the contract between Inge Jooris and the Client shall apply.

6. Apart from the express obligations entered into by Inge Jooris under the contract, the liability of Inge Jooris is limited to the liability prescribed by law. Inge Jooris isn't liable for indirect damages, 2 such as loss of sales or profits or an increase in general costs. Inge Jooris shall also not be liable for any damages resulting from the Client's failure to comply with this Agreement, nor shall Inge Jooris be liable for any defects caused directly or indirectly by any act of the Client or any third party, whether due to fault or negligence.

7. Belgian law is applicable. In the event of any dispute or controversy, the courts of the district in which the registered office of "On a sunny morning in August ..." is located shall have exclusive jurisdiction.

8. The customer may not disclose to third parties the approach, the working method, the case studies used, etc. without the prior consent of Inge Jooris.

9. The data provided by the customer will be included in the file of Inge Jooris. These data will be used for the purpose of carrying out information or promotional campaigns related to the services offered by Inge Jooris within the framework of the contractual relationship between the Client and Inge Jooris. The customer's contact data may also be disclosed by Inge Jooris to third parties (business partners) with the customer's express consent. The data won't be used or passed on for these purposes without explicit consent.

Within the framework of the contractual relationship between the customer and Inge Jooris, the customer's data will only be processed by Inge Jooris and the processors it's commissioned, with whom the necessary contractual agreements have been made. Inge Jooris won't shop the data outside the European Economic Area without first informing the Client of the appropriate safeguards for the transfer and, if necessary, obtaining the Client's consent. For example, Inge Jooris may share the following personal data (in the form of a list of participants) with co-trainers and other participants in the specific training course for which the Client has registered: Last name, first name, position and company name. In addition, Inge Jooris may take photographs during certain assignments, which may subsequently be used through Inge Jooris' communication channels. If the client doesn't wish to be included in the list of participants or doesn't wish to appear in photographic material, he/she must indicate this.

Inge Jooris will endeavour to take all reasonable technical and organisational measures to protect and secure the data against accidental or unauthorised destruction, accidental loss, and against alteration of or access to personal data and any other unauthorised processing, taking into account the state of the art. Data that's no longer needed or useful will be deleted. The Customer may at any time request access to, rectification, deletion or transfer of his data and object to the use of the data for direct marketing. This request is free of charge.
